Training – Terms and Conditions (UK)

1. Booking and Confirmation
1.1 All  training bookings must be made in writing via email or via the website booking form
1.2 A booking is only deemed confirmed upon receipt of a signed agreement or purchase order, and payment of any deposit as specified in the invoice.
1.3 Training dates are subject to availability and will be held provisionally for up to 5 days unless confirmed.

2. Fees and Payment
2.1 Training fees are set out in the quotation and confirmed in the invoice.
2.2 A deposit of £50 is payable upon booking. The balance must be paid no later than 5 calendar days prior to the training date.
2.3 All prices quoted are exclusive of VAT, which will be charged at the prevailing rate where applicable.
2.4 Payments must be made via BACS or another agreed method. Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.

3. Cancellations and Rescheduling
3.1 Cancellations must be made in writing. The following cancellation charges apply:
 - More than 30 days prior: No fee
 - 14–30 days prior: 50% of the total fee
 - Less than 14 days prior: 100% of the total fee
3.2 One rescheduling request may be made without penalty if received at least 14 days prior to the session and subject to trainer availability.

4. Client Responsibilities
4.1 The client is responsible for ensuring that participants meet any pre-training requirements and attend punctually.
4.2 For on-site training, the client will provide an appropriate venue and any agreed equipment or materials.
4.3 For virtual training, the client must ensure that participants have access to suitable technology and internet connectivity.

5. Trainer Substitution and Force Majeure
5.1 We reserve the right to substitute a trainer of equivalent qualifications if the original trainer becomes unavailable.
5.2 We are not liable for delays or non-performance caused by circumstances beyond our control, including but not limited to natural disasters, illness, pandemics, strikes, or government restrictions.

6. Intellectual Property
6.1 All training materials, content, and documentation provided remain the intellectual property of Skills Base First Aid and are protected by copyright laws.
6.2 No part of the materials may be reproduced, distributed, or used commercially without prior written consent.

7. Confidentiality
7.1 Both parties shall keep confidential any proprietary or commercially sensitive information disclosed during the course of the training.
7.2 This obligation remains in force after the completion of the training session.

8. Liability
8.1 Our total liability to the client (whether in contract, tort, or otherwise) shall be limited to the amount paid for the training services.
8.2 We do not accept liability for any indirect or consequential loss, including but not limited to loss of profit or business interruption.

9. Governing Law and Jurisdiction
9.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
9.2 Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
